ANGRY APES SOCIETY NFT IP RIGHTS AGREEMENT

This NFT IP Rights Agreement (the "Agreement") is made and entered into between Angry Apes Society (the “Company”) and the holders (referred to as "Owners") of NFTs from the following collections: Angry Apes Society, Angry Riders, Angry Apes Society Honorary and Portal Passes (collectively referred to as the "NFT Collections").

1. Subject to the terms and conditions of this Agreement, Grant of IP Rights Subject to the terms and conditions of this Agreement, the Company hereby grants to the Owners of the NFT Collections full and worldwide intellectual property rights ("IP Rights") to the NFTs they own. These IP Rights include, but are not limited to, the right to commercial and personal use, reproduce, modify, create derivative works, distribute, publicly display,promoting third party goods and services in a manner that includes, contains, or consists of the graphical image of the Owner’s NFT and publicly perform the NFTs for any purpose they deem appropriate.

2. Limitations
2.1. The IP Rights granted under this Agreement are specific to the artwork of the NFT tokens owned by each respective Owner. IP Rights are non-transferable except through lawful transfer of the NFT itself. Ownership of NFTs will be verified and confirmed on the blockchain.
2.2. While Owners are granted the right to modify their NFTs artwork, it is expressly prohibited for an Owner to recreate another image that is a direct copy of any other NFT artwork within the NFT Collections.
2.3. Owners are permitted to sublicense their NFT tokens artwork at their own discretion, provided that the sublicensees adhere to the terms set forth in this Agreement.
2.4. Transfer of Ownership: If an Owner transfers ownership of their NFT token through sale, trade, donation, gifting, or any other means, the intellectual property license associated with the NFT token and its artwork will be immediately transferred to the new owner, relinquishing the previous Owner's rights to the Artwork.


3. AAS Brand Intellectual Property
3.1. The Company retains all intellectual property rights to the names, logos, layer files, trademarks, website, user interface design, and smart contract code associated with the NFT Collections The Company reserves all rights to this intellectual property.
3.2. Promotional Use: The Company reserves the right to utilize the intellectual property associated with the NFT Collections for promotional campaigns, advertisements, marketing efforts, and any related activities.


4. Prohibited Content Owners are unequivocally prohibited from employing the associated Artwork in connection with media that depicts hatred, intolerance, violence, cruelty, or any form of hate speech or infringement on the rights of others.

5. Indemnification Owners agree to indemnify and hold harmless the Company from and against any claims, liabilities, losses, damages, costs, and expenses arising out of or in connection with their use of the NFTs and their respective IP Rights.

7. Entire Agreement This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written. By owning and continuing to hold the NFTs from the NFT Collections, Owners acknowledge and agree to be bound by the terms and conditions of this Agreement.
